Box 12 brand rescued from liquidation by new trading company
Box 12, supplier of boxing studios and programming, is going into voluntary liquidation, with Begbies Traynor Group appointed as liquidator of the current trading company, Box 12 Global Ltd.
Its debts have not yet been established.
A specialist accountant with industry knowledge was brought in to try to rescue Box 12 Global Ltd, but this has ultimately not been possible.
A new company, Box 12 Ltd, has acquired the assets of Box 12 Global Ltd from the liquidator, so the brand can continue to function.
Speaking to HCM, Box 12 Ltd CEO, Anthony Elliott, who took up his post and became a shareholder of Box 12 Global Ltd six months ago, in an attempt to rescue the business, said: "After being a customer of Box 12 for many years, I understand the concept and value of the brand for the end user.
"It was important for me to get involved to ensure Box 12 continues to be part of our industry.
"After exploring all the options, we had no alternative but to opt for liquidation, but we can also report that Box 12 will keep trading as a brand for our loyal customers and their members through the new business."
Current customers are understood to include David Lloyd, The Gym Group, Fitness First, Places Leisure, Serco, Village Leisure and Anytime Fitness among others.
The company was founded as Box12 (Newcastle-under-Lyme) Ltd on 7 February 2019, registering its current trading name on 14 April 2021.
Current directors of the company include Jonathan Eade, Anthony Elliott and James Hall. Previous director Jamie Cartwright resigned on 11 March.
Eade, Elliott and Hall own Box 12 Global Ltd through J3box Limited.
This company was established in March 2018.
J3box Limited hasn't filed accounts since 2023, when it had £1,200 on its balance sheet.
Elliott also owns H3Box Ltd, which was incorporated in 2008 as Hatton Independent Trading Ltd before being renamed Hatton Boxing Ltd in 2015.
It became H3Box in 2018 and Elliott became involved as a director in March this year.
